Senior Transaction Diligence Associate

About the role

EY’s Financial Services Organization is seeking a Senior Associate to join its Transaction Diligence team within the EY-Parthenon practice. You will work on complex buy‑side and sell‑side financial due diligence engagements for private equity and corporate clients, helping them assess value drivers and mitigate transaction risks.

Key responsibilities

• Analyze historical financial data and identify key performance trends.
• Prepare reports and recommendations on financial and business issues in transactions.
• Identify EBITDA adjustments, GAAP issues, and develop normalized EBITDA schedules.
• Evaluate pro‑forma financial information, carve‑out considerations, and post‑transaction actions.
• Support purchase price negotiations, deal structuring, and potential deal termination decisions.

Required profile

• Bachelor’s or graduate degree in Accounting, Finance, Economics, Business or related field.
• Minimum 3 years of relevant experience, preferably in professional services, public accounting, or financial due diligence.
• Strong analytical ability to translate large data sets into actionable insights.
• Excellent written and oral communication skills and ability to work under tight deadlines.
• Willingness to travel up to 25% on short notice.

Required skills

• Advanced proficiency in Microsoft Excel and PowerPoint.
• Experience with data‑analytics tools such as Alteryx, Power BI or Tableau.
